Dubious provision in Employment Non-disclosure Agreement

Negotiations are underfoot. Prospective employer works in a legally sensitive industry. A non-disclosure agreement separate from employment is being discussed, and was intimated as not to be acknowledged officially. I suspect the organisation might have continuing non-compliance issues which might cost them a lot, either in compliance measures or fines.

My question is: how valid would such an arrangement be? In some legal jurisdictions a whistleblower would not be held liable for a claim under such a contract.

Based on the vague details I would assume a Non -disclosure agreement would not protect either party from legal issues. But you know what they say about assumptions!
